Leap Pricing Policy
1. Scope and Applicability
This Revenue Share Pricing Policy ("Policy") governs the pricing, Revenue Share, platform charges, billing, settlement, refunds, chargebacks and related commercial terms applicable to customers ("Customer") using a Learnyst Revenue Share Plan ("Revenue Share Plan").
This Policy shall be read together with the applicable Learnyst Terms of Service, Subscription Agreement, Order Form, Privacy Policy and other applicable Learnyst policies.
This Policy applies only to Revenue Share Plans. It does not apply to Learnyst subscription (SaaS) plans, which are governed by their own commercial terms.
Revenue Share Plans are available to Customers in India only. Sales denominated in a currency other than Indian Rupees are not supported on Revenue Share Plans.
2. Revenue Share Plans and Fees

Premium and Premium+. Premium and Premium+ carry the same Revenue Share rate of 7%. The distinguishing inclusion on Premium+ is the IOS mobile app, which is not included on Premium.
Annual billing only. Revenue Share Plans are offered on an annual billing cycle. Monthly, quarterly and half-yearly cycles are not available on any Revenue Share Plan.
Two separate charges. The Platform Fee and the Revenue Share Fee are separate charges, and both are payable. The Platform Fee is payable in advance for the year and remains payable regardless of sales volume, including where the Customer makes no sales.
Platform charges. In addition to the Platform Fee and the Revenue Share Fee, certain platform actions are charged in LystCredits as set out in Section 5. Platform fee or revenue share fee are not refundable.
3. Definitions
"Customer" means the individual or legal entity subscribing to a Learnyst Revenue Share Plan.
"Creator Product" means courses, test series, mock tests, batches, cohorts, digital products, bundles, memberships, live classes or any other product or service offered by the Customer through Learnyst, whether paid or free.
"Learner" means an end user who purchases, enrolls in or accesses a Creator Product.
"Learnyst Pay" means Learnyst's designated checkout and payment infrastructure, including Learnyst-generated payment links and Learnyst-integrated payment aggregator arrangements.
"Eligible Transaction" means a successfully completed payment for a Creator Product processed through Learnyst Pay.
"Listed Price" means the price displayed for a Creator Product, which is the amount the Learner pays at checkout. All Listed Prices are inclusive of GST and other statutory taxes.
"Revenue Share Base" means the amount actually paid by the Learner for a Creator Product after applicable discounts and coupons, less the GST and other statutory taxes included in that amount. Where the Customer is not registered for GST and no GST is charged, the Revenue Share Base is the full amount paid by the Learner.
"Revenue Share Fee" means the Revenue Share Base multiplied by the applicable Revenue Share rate. The Revenue Share Fee is inclusive of GST at the applicable rate.
"Platform Fee" means the annual plan fee for the selected Revenue Share Plan.
"LystCredit" means a pre-purchased platform credit held in the Customer's Learnyst wallet, used to pay platform charges under Section 5. One LystCredit has a value of one Indian Rupee (₹1).
"Enrolment" means the grant of access to a Creator Product to a Learner, whether by purchase, bulk import, manual entry or any other mechanism, and whether the Creator Product is paid or free.
"Refund Window" means the period of 7 days from the date of purchase during which a Learner may seek a refund under Section 13.
"Effective Date" means the date stated at the top of this Policy, being the date from which this Policy applies.
"Order Form" means the written commercial document executed between Learnyst and the Customer that records the plan, fees and any negotiated terms applicable to that Customer.
"Total Balance" means all net earnings accumulated from Eligible Transactions after deduction of the Revenue Share Fee and TDS, including both settled and unsettled amounts.
"Withdrawal Balance" means that portion of the Total Balance which has cleared the settlement period set out in Section 12 and is available for withdrawal.
"Payment Gateway" means a payment gateway, payment processor, payment aggregator or other third-party payment infrastructure provider used to process transactions.
4. Platform Fee
The Platform Fee for the selected Revenue Share Plan is payable annually in advance.
The Platform Fee remains payable regardless of the Customer's sales volume.
The Platform Fee is not refundable in whole or in part on downgrade, cancellation, mid-term exit, migration to a subscription plan, or termination for any reason.
5. LystCredits and Platform Charges
Certain platform actions are charged in LystCredits. One LystCredit has a value of ₹1. The Customer purchases LystCredits in advance and must maintain a sufficient balance before initiating a charged action.

Minimum Revenue Share Fee. There will be a minimum revenue share of Rs.10/- or applicable percentage of the revenue share whichever is higher.
Free Creator Products. No percentage-based Revenue Share is charged on a Creator Product listed at ₹0. A charge of 10 LystCredits (₹10) applies per Enrolment in such a product.
Bulk import. There is no monthly cap on bulk learner imports on Revenue Share Plans. Every user-course Enrolment created by import is charged at Rs.200/- LystCredits (₹200), including Enrolments imported when the Customer first onboards onto Learnyst. Where the available balance is exhausted part-way through an import, the remaining Enrolments fail; Enrolments already created are not reversed. LystCredits consumed by an Enrolment are not returned if that Enrolment is later cancelled or refunded.
Manual and offline Enrolments. Every Enrolment recorded in Learnyst without a corresponding payment through Learnyst Pay is charged at a flat 200 LystCredits (₹200) per Enrolment. This charge applies irrespective of the price of the Creator Product and irrespective of whether the Customer collected any payment from the Learner.
Top-up. LystCredits are purchased from the Credits section of the admin panel. No minimum top-up amount applies, and the Customer may purchase LystCredits in any amount.
Negative credit balance. The LystCredit balance may fall below zero to a limit of negative 500 LystCredits (negative ₹500). Charged actions continue to be permitted until that limit is reached. On reaching the limit, the account is locked in accordance with Section 15, and the Customer must purchase LystCredits from the Credits section of the admin panel to restore the balance and resume charged actions.
LystCredits are non-refundable and are consumed at the point the charged action is performed.
6. Mandatory Use of Learnyst Pay
Use of Learnyst Pay is mandatory on all Revenue Share Plans.
The Customer shall process all payments for Creator Products through Learnyst Pay. The Customer shall not use, integrate or direct Learners to any external payment gateway, payment link, bank transfer, UPI handle, wallet, cash collection or other payment mechanism outside Learnyst Pay for the sale of Creator Products.
Third-party or custom payment gateway integration is not available on any Revenue Share Plan.
Directing or accepting payment for a Creator Product outside Learnyst Pay is a material breach of this Policy. Learnyst may, in accordance with Section 23 and Section 27, assess the Revenue Share Fee that would have applied to such transactions, suspend the Customer's account, or terminate the Revenue Share Plan.
7. Revenue Share Calculation
The Revenue Share Fee is calculated as:
Revenue Share Base = Amount paid by the Learner - GST included in that amount
Revenue Share Fee = Revenue Share Base x Applicable Revenue Share Rate
Where the Customer is not registered for GST and no GST is charged on the Creator Product, the Revenue Share Base is the full amount paid by the Learner.
No minimum Revenue Share Fee applies.
The Revenue Share Base is calculated before deduction of:
payment gateway and payment processing charges;
affiliate commissions;
operational expenses; or
any other expense incurred by the Customer.
None of the above reduce the Revenue Share Base unless Learnyst expressly agrees otherwise in writing.
The Revenue Share Fee is computed at the time of the Eligible Transaction and is deducted before earnings are released to the Customer under Section 12.
8. Eligible and Non-Eligible Transactions
Revenue Share applies to every Eligible Transaction.
Instalments, subscriptions and renewals. Where a Creator Product is sold on an instalment plan, a recurring subscription or a renewal plan, the Revenue Share Fee is charged on each payment event as and when that payment is received. The rate applied is the rate in force on the date of each payment event.
Bundles. Where multiple Creator Products are sold together as a bundle, the Revenue Share Fee is computed on the full bundle amount paid, as a single transaction.
The following are not Eligible Transactions and do not attract a percentage-based Revenue Share Fee:
failed, declined or abandoned payment attempts;
transactions cancelled before payment is completed;
duplicate transactions arising from a technical error;
enrolments in Creator Products listed at ₹0, which are instead charged under Section 5;
manual, offline and imported Enrolments, which are instead charged under Section 5.
9. Discounts, Coupons, Free Products and Pricing
The Customer determines the pricing, discounts, coupons and promotional offers for its Creator Products, subject to applicable law and Learnyst platform requirements.
Price display. All prices displayed for Creator Products and add-ons are inclusive of GST and other statutory taxes. The Learner pays the Listed Price at checkout with no tax added on top. Where the Customer is registered for GST, the GST component is contained within the Listed Price and is the Customer's responsibility to remit.
Discounts and coupons. Revenue Share is calculated on the actual discounted amount paid by the Learner, less the GST included in that amount. Discount and coupon costs borne by the Customer do not reduce the Revenue Share Base below the amount actually paid. Coupons, including full-value coupons, may be issued without restriction.
Free products. A Creator Product listed at ₹0 attracts no percentage-based Revenue Share. Manual enrolments in such products are charged at Rs.200/- LystCredits per Enrolment under Section 5.
Minimum selling price. No minimum selling price is enforced on Creator Products, and no minimum Revenue Share Fee applies.
Error correction. Learnyst may correct or cancel a transaction affected by an obvious technical, fraudulent, typographical, system or pricing error, subject to applicable law.
10. Taxes
GST on the Revenue Share Fee. The Revenue Share Fee is inclusive of 18% GST at the applicable rate. A consolidated GST invoice for Revenue Share Fees deducted is generated monthly and made available to the Customer.
GST on Creator Products. Listed Prices are inclusive of GST. The GST component contained within the Listed Price does not form part of the Revenue Share Base. That component is credited to the Customer along with the balance of the sale proceeds, and the Customer is responsible for remitting it to the tax authorities. Customers not registered for GST charge no GST, and for those Customers the Revenue Share Base is the full amount paid by the Learner.
GST TCS under Section 52 of the CGST Act. Tax is collected at source at 1% of the Revenue Share Base at the time of withdrawal, only in respect of Customers holding a registered GSTIN. This is reflected in the Customer's GSTR-2A for GST input credit. Customers without a GSTIN are not subject to GST TCS.
Customer tax obligations. The Customer remains responsible for all taxes arising from its own business, Creator Products and income, except revenue share or taxes that Learnyst is legally required to collect, deduct, withhold or remit. The Customer must provide accurate PAN, GSTIN and other required tax information, and must keep that information current.
Statutory rates stated in this Section are those in force as at the Effective Date and are subject to change by law without amendment to this Policy.
11. Payment Gateway Charges
Payment gateway and payment processing charges are included in the Revenue Share Plan. No separate payment gateway or processing charge is levied on the Customer, and no such charge is deducted from the Customer's settlement amount.
Payment processing is subject to the applicable payment service provider's terms, policies and regulatory requirements, including the Reserve Bank of India's framework for Payment Aggregators and Payment Gateways.
Learnyst is not responsible for failures, delays or interruptions caused solely by third-party payment providers, except to the extent liability cannot legally be excluded.
Force majeure. Learnyst shall not be liable for any failure, delay or interruption in payment processing, settlement or payout arising from events beyond its reasonable control, including acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, strikes or labour disputes, failures or outages of banking, payment gateway, telecommunications, internet or power infrastructure, cyber attacks, and any law, regulation, order or direction of a government, regulatory authority or the Reserve Bank of India. Where such an event occurs, the affected obligations are suspended for the duration of the event, and Learnyst shall resume performance as soon as reasonably practicable. This clause does not relieve Learnyst of the obligation to settle amounts genuinely due to the Customer once the event has ended.
12. Settlement and Payouts
Settlement period. Earnings from an Eligible Transaction are settled to the Customer on a T+7 basis, where T is the date of the transaction. This period runs concurrently with, and is not shorter than, the Refund Window under Section 13.
Deduction sequence. The Revenue Share Fee and applicable deductions are applied and earnings are released to the Customer only after the Refund Window has closed. Where a transaction is refunded within the Refund Window, no Revenue Share Fee is charged and no amount is released to the Customer in respect of that transaction.

Net Settlement Amount
The amount credited to the Customer includes the GST component contained within the Listed Price. The Customer is responsible for remitting that GST to the tax authorities.
Manual withdrawal. The Customer may request a withdrawal of the Withdrawal Balance, subject to a minimum withdrawal amount of ₹100. A withdrawal request cannot be cancelled once submitted.
Automatic withdrawal. On the 1st of every month, the full Withdrawal Balance of every eligible Customer is paid out automatically. Automatic withdrawal cannot be disabled by the Customer.
KYC and bank details. Payouts require completed KYC verification and valid bank account details. Customers with incomplete or invalid KYC or bank details are skipped for that payout cycle and notified by email. Payouts resume once KYC and bank details are valid.
Payout statements. A payout statement showing GST TCS, where applicable, and net payout details is generated for each payout.
Withholding. Learnyst may delay or withhold settlement where reasonably necessary to investigate suspected fraud, unauthorized transactions, payment disputes, security issues or legal and regulatory requirements, subject to applicable law.
13. Refunds
A Learner may seek a refund within 7 days from the date of purchase.
Full refunds only. Partial refunds are not supported. A refund is processed in full, and only where the request meets the applicable refund policy.
Because settlement to the Customer occurs only after the Refund Window closes under Section 12, a refund processed within the Refund Window is made from funds not yet released to the Customer. Accordingly:
no Revenue Share Fee is charged on a transaction refunded within the refund window;
no amount in respect of that transaction is credited to the Customer's Total Balance; and
LystCredits already consumed in respect of an Enrolment are not returned.
The Customer remains responsible for its refund and cancellation obligations to Learners under applicable consumer protection law, including the Consumer Protection (E-Commerce) Rules, 2020.
14. Chargebacks and Reversals
Where a Learner disputes a payment with their bank or card issuer after the Refund Window has closed, customer bears the loss.
The disputed transaction amount, the applicable payment gateway charges and any chargeback handling charge levied by the payment provider are borne by the customer. In case if Learnyst has borne the disputed cost, the same amount will be deducted from the Customer's future transactions.
The Customer shall cooperate promptly with Learnyst and the payment provider in responding to chargebacks, including by providing evidence of delivery and access to the Creator Product.
Learnyst may review any Customer account showing a pattern of chargebacks, and may suspend or terminate the Revenue Share Plan in accordance with Section 27 where that pattern indicates fraud, misrepresentation or material breach.
15. Negative Balance and Account Lock
The Customer's LystCredit balance may fall below zero as a result of platform charges under Section 5. Charged actions continue to be permitted until the balance reaches negative 500 LystCredits (negative ₹500).
On reaching that limit, the account is locked. While the account is locked, all withdrawals are blocked and administrative access is restricted. Learners retain access to Creator Products they have already purchased.
To restore the balance, the Customer purchases LystCredits from the Credits section of the admin panel. There is no minimum top-up amount. The account is unlocked once the balance is restored to zero or above, whether by that purchase or from future earnings.
Amounts owed by the Customer to Learnyst remain payable and survive termination of the Revenue Share Plan.
16. Affiliate and Third-Party Commissions
Where the Customer engages affiliates, instructors, partners or agents, any commission payable to them is paid from the Customer's share of the transaction. The affiliate's agreed commission is paid in full and is not reduced by the Revenue Share Fee.
Affiliate, instructor, partner, agent and other third-party commissions paid by the Customer do not reduce the Revenue Share Base, unless expressly agreed otherwise in writing by Learnyst.
17. Add-Ons
Customers on a Revenue Share Plan may purchase the following optional add-ons. Add-ons are billed annually in advance and are non-refundable, including in the event of cancellation, downgrade, migration or discontinuation during the annual term.

Custom Domain. The Custom Domain add-on allows the Customer to use its own domain for its Learnyst school instead of the standard Learnyst-provided domain. It also enables applicable school-level white-labelling under the Customer's brand, subject to the branding capabilities available under the selected Revenue Share Plan.
Mobile App Add-Ons. Mobile app add-ons provide access to the applicable Android and/or iOS branded mobile app offering selected by the Customer. The features and services included in the Basic and Premium app variants will be those specified by Learnyst at the time of purchase or in the applicable Order Form.
Apps already included in a plan. A Customer is not required to separately purchase a mobile app that is already included with its Revenue Share Plan under Section 2. For example:
Premium includes an Android app;
Premium+ includes Android and iOS apps; and
Business includes Android and iOS apps.
A separate mobile app charge applies only where the Customer purchases an app or app variant that is not already included in its selected Revenue Share Plan.
Android + iOS Combo. The Android + iOS Combo is a combined annual add-on covering both the applicable Android and iOS Premium app offerings. It is not charged separately where both apps are already included in the Customer's Revenue Share Plan, unless the Customer purchases an additional or upgraded app offering.
App-store and developer-account costs. Unless expressly included in the applicable Order Form, the Customer is responsible for obtaining and maintaining any Apple App Store or Google Play developer account required for publishing the branded app, including applicable registration, renewal, listing or other third-party fees.
App-store approval. Publication of a mobile app remains subject to Apple and/or Google's applicable policies, review requirements and approval processes. Payment of an app add-on fee does not guarantee approval or continued listing by an app store.
Third-party charges. Fees charged directly by Apple, Google or any other third-party service provider are separate from the Learnyst add-on prices above unless expressly stated otherwise in the Order Form.
Term of add-on. An add-on is provided for the applicable annual add-on term. Purchasing, cancelling or discontinuing an add-on does not alter the Customer's underlying Revenue Share Plan, Platform Fee or Revenue Share rate unless otherwise expressly agreed in writing.
18. Fair Usage Limits
Each Revenue Share Plan is subject to the same fair usage limits as the equivalent Learnyst subscription plan, covering monthly active users, bandwidth, storage, video hours, transcoding, quiz submissions, automation runs, DRM tokens, analytics events and visitors. The applicable limits for each plan are published on the Learnyst pricing page.
In addition, a dormant video limit of 20 video hours applies. Where the Customer reaches this limit, creation of new lessons is disabled until the Customer reduces usage below the limit or upgrades to a plan with a higher allowance.
19. Term, Renewal and Cancellation
Term. Revenue Share Plans are sold on an annual term only.
Renewal. The plan renews at the end of the annual term at the standard Platform Fee then in force for the applicable plan..
Cancellation. Cancellation takes effect at the end of the current annual term. The school remains active until that date. Mid-term exit is not available.
No refund. The Platform Fee is not refundable on cancellation, downgrade, mid-term exit or termination.
On expiry. Revenue Share Fees, LystCredit charges and other amounts accrued before expiry remain payable. Learners retain access to Creator Products they have already purchased.
20. Plan Changes Within Revenue Share Plans
A Customer seeking to change plan must submit a plan change request form. A member of the Learnyst team reviews the request and effects the change following that review.
The new Revenue Share rate applies from the effective date of the plan change. Revenue Share already accrued before that date remains subject to the previously applicable rate and shall not be retroactively adjusted.
No cooling-off period applies to plan changes within the Revenue Share Plan set.
21. Migration to a Subscription Plan
A Customer may request migration from a Revenue Share Plan to a Learnyst subscription (SaaS) plan.
Cooling-off period. A cooling-off period of 3 months applies to migration between a Revenue Share Plan and a subscription plan. A Customer who has migrated between these two models may not migrate again until 3 months have elapsed from the effective date of the previous migration.
Process. Migration is not self-serve. The Customer must submit a migration request form. Learnyst reviews the request and effects the migration following that review.
Platform Fee. The Platform Fee paid for the current Revenue Share annual term is not refunded and is not credited pro rata against the subscription plan fee.
Accrued Revenue Share. Revenue Share Fees and LystCredit charges accrued before the effective date of migration remain payable in full. Revenue Share remains payable on transactions completed before the effective date of migration, including where those transactions settle after that date, and on instalment or subscription payment events initiated before that date.
22. Non-Payment
If a Platform Fee charge fails, the Customer's account follows Learnyst's standard non-payment lifecycle, including the applicable grace period, automatic retry schedule and pre-lock notifications.
Where the account is subsequently locked, the Customer loses administrative access. Learners will lose access to Creator Products they have already purchased.
Revenue Share Fees and LystCredit charges accrued before a lock remain payable.
23. No Circumvention
The Customer shall not manipulate, conceal, misrepresent, split or restructure transactions or Enrolments for the purpose of avoiding or reducing Revenue Share or platform charges. This includes:
accepting payment for a Creator Product outside Learnyst Pay, contrary to Section 6;
listing a paid Creator Product at ₹0, or applying a full-value coupon, and collecting the price outside Learnyst Pay;
using bulk import or manual Enrolment to grant access to a Learner who has paid outside Learnyst Pay, otherwise than on payment of the charge under Section 5;
recording incorrect transaction values;
falsely marking completed transactions as cancelled or refunded;
misrepresenting transactions processed through Learnyst as external transactions;
splitting a single sale across multiple accounts, products or schools to reduce the Revenue Share Base; or
using any transaction or Enrolment mechanism primarily for the purpose of avoiding applicable fees.
Where such conduct is reasonably identified, Learnyst may, subject to applicable law and the Customer's agreement:
correct the applicable transaction records and calculate the Revenue Share Fee on the actual transaction value;
recover the shortfall through future settlements, invoices or the Customer's authorized payment method;
suspend withdrawals pending investigation; and
suspend or terminate the Revenue Share Plan in accordance with Section 27.
24. Transaction Records, Review and Disputes
Learnyst and its authorized payment service providers maintain electronic records of transactions and Enrolments, including transaction ID, date, amount, discount, taxes, payment status, refunds, chargebacks, Revenue Share, LystCredit charges and settlement information.
Subject to applicable law and correction of demonstrable errors, such records shall be relied upon for Revenue Share calculation and settlement. Where the Customer's records differ from Learnyst's records, the parties shall review the relevant transaction and supporting documentation.
Customer disputes. The Customer should review its transaction and settlement statements and report any suspected Revenue Share or settlement discrepancy within 30 days of the relevant statement or transaction information becoming available, unless another period applies under the Customer's agreement. A dispute should include the transaction ID, transaction date, product, disputed amount, reason and supporting documentation. Learnyst shall correct verified billing or calculation errors attributable to Learnyst. Undisputed amounts remain payable while a specific transaction is under review.
Learnyst review. The Learnyst growth team assigned to the Customer's account reviews Enrolment and transaction activity on that account. Where a review identifies Revenue Share or platform charges that have been underpaid, whether through error or through conduct described in Section 23, Learnyst may recover the shortfall in accordance with Section 23 and Section 26.
25. Fraud and Unauthorized Transactions
Where a transaction is identified as potentially fraudulent, unauthorized, suspicious or irregular, Learnyst or its payment provider may, subject to applicable law: delay settlement; suspend processing; reverse the transaction; adjust Revenue Share; request additional information; or take other reasonable measures.
The Customer shall cooperate reasonably with payment-related investigations.
The Customer represents that all payment, banking and settlement information supplied to Learnyst is accurate and that the Customer has legal authority to use the relevant payment method or account.
26. Correction and Recovery of Errors
Learnyst may correct billing, settlement, transaction or technical errors through credits, debits, invoices, settlement adjustments, refunds or other reasonable mechanisms.
Where the Customer owes amounts to Learnyst, Learnyst may recover those amounts through future settlements, invoices, the Customer's authorized payment methods or other lawful mechanisms.
Correction of an error does not constitute a change to the applicable Revenue Share rate.
27. Suspension and Termination
Learnyst may suspend or restrict a Revenue Share Plan where reasonably necessary due to non-payment, an account lock under Section 15, fraud or suspicious transactions, material breach, payment-provider restrictions, security concerns, legal or regulatory requirements, or misuse of payment infrastructure.
Upon termination, all previously accrued Revenue Share Fees, Platform Fees, LystCredit charges and other applicable charges remain payable.
Pending refunds, reversals and payment-processing charges may continue to be adjusted after termination.
28. Customer Responsibility
The Customer remains responsible for its Creator Products and for its commercial relationship with Learners, including product descriptions, pricing, discounts and offers, delivery and access, refunds and cancellations, representations and warranties, applicable taxes, learner-facing terms, and compliance with applicable laws.
The Revenue Share arrangement does not make Learnyst the owner, provider or seller of the Customer's Creator Products merely because Learnyst charges a percentage-based fee.
The Customer must obtain and maintain any licences, registrations, permissions or approvals required for its business and Creator Products.
29. No Guarantee of Revenue
A Revenue Share Plan does not guarantee minimum sales, minimum revenue, minimum Learners, learner acquisition, conversion, retention, profitability or business performance.
The Customer remains responsible for its own business, marketing, Creator Products and commercial decisions.
Where Learnyst provides onboarding support, training, workshops, growth assistance or similar services alongside a Revenue Share Plan, those are provided on a reasonable-efforts basis and do not constitute a guarantee of any commercial outcome.
30. No Partnership or Agency
The Revenue Share Plan is a method of calculating Learnyst's platform and service fee.
It does not create a partnership, joint venture, employment relationship, franchise, agency relationship or ownership interest between Learnyst and the Customer.
Revenue Share does not transfer ownership of the Customer's business, revenue, Creator Products or intellectual property to Learnyst.
31. Legal Compliance
The Customer is responsible for ensuring that its Creator Products, pricing, promotional activities, learner-facing terms and transactions comply with applicable laws, including the Consumer Protection (E-Commerce) Rules, 2020.
Nothing in this Policy excludes any mandatory statutory obligation, consumer right, tax requirement, payment regulation or liability that cannot legally be excluded or limited.
If any provision of this Policy conflicts with a mandatory requirement of applicable law, the mandatory legal requirement shall prevail to the extent of the conflict.
32. Pricing Changes by Learnyst
Learnyst may introduce, modify or discontinue pricing plans and may change pricing applicable to future terms, including Platform Fees, Revenue Share rates and LystCredit charges.
Material changes to an existing Customer's applicable commercial terms shall be communicated in accordance with the applicable agreement.
Pricing changes shall not retrospectively modify Revenue Share already accrued, unless expressly permitted by the applicable agreement and law.
33. Order Form Precedence
The Customer's Order Form, Subscription Agreement or other written commercial agreement may specify additional or negotiated terms, including Revenue Share rate, Platform Fee, billing period, settlement cycle, minimum charges, promotional pricing and transaction-specific fees.
Where a specific commercial term in a duly executed Order Form conflicts with this Policy, the Order Form shall prevail to the extent of that conflict.
34. Changes to This Policy
Learnyst may update this Policy to reflect changes in pricing, products or services, payment infrastructure, business practices, applicable law, regulatory requirements or operational requirements.
Material changes affecting existing Customers shall be communicated in accordance with the applicable agreement.
35. Governing Law and General
This Policy is governed by the laws of India. The courts at Bengaluru, Karnataka shall have exclusive jurisdiction, subject to the dispute resolution provisions of the applicable Learnyst Terms of Service, Order Form or Subscription Agreement.
If any provision is held invalid or unenforceable, the remaining provisions continue in effect.
Failure to exercise any right under this Policy does not constitute a waiver of that right.
This Policy, together with the applicable Learnyst agreements and Order Form, constitutes the commercial framework for the Customer's Revenue Share Plan.
36. Worked Examples
All examples assume a Creator Product is sold through Learnyst Pay to a Learner in India. All Listed Prices are inclusive of GST, so the Learner pays the Listed Price with nothing added at checkout.
The applicable Revenue Share Fee includes payment gateway and payment processing charges. No separate payment gateway charge is deducted from the Customer's settlement amount.

Example 7: Sale with Affiliate Commission — Professional Plan, GST-Registered Customer

The Customer imports 500 user-course Enrolments.
The charge is:
500 × 200 LystCredits = 100,000 LystCredits (₹1,00,000).
There is no monthly cap on the number of imports, and the same charge applies to Enrolments imported during initial onboarding.
Example 10: Manual Enrolment in a ₹20,000 Course
A Learner is enrolled manually without a corresponding payment through Learnyst Pay.
The Customer is charged a flat 200 Lyst Credits (₹200) for the Enrolment, irrespective of the ₹20,000 Listed Price of the Creator Product.
Example 11: Refund Within the Refund Window
A ₹10,000 sale is refunded in full on day 4 after satisfying the applicable refund requirements.
Because the Refund Window has not yet closed:
the Learner receives the full ₹10,000 refund;
no Revenue Share Fee is charged; and
no amount relating to that transaction is credited to the Customer's Total Balance.
Because payment gateway charges are included within the Revenue Share Fee, no separate payment gateway charge is imposed on the Customer for the transaction, subject to any specific refund-related charges expressly provided elsewhere in this Policy.
Example 12: Chargeback After the Refund Window
A ₹10,000 transaction is disputed by the Learner and charged back after the Refund Window.
The Customer's liability for the disputed transaction, chargeback costs and related adjustments will be determined in accordance with Section 14.
Payment gateway processing charges forming part of the normal Revenue Share Fee are not separately charged merely because the original transaction was processed through Learnyst Pay.
Example 12: Chargeback After the Refund Window
The Customer subscribes to the Professional Plan at a promotional first-year Platform Fee of ₹4,999.
The applicable Professional Plan Revenue Share rate continues to apply to Eligible Transactions during that year. The Revenue Share Fee includes applicable payment gateway and payment processing charges, and no separate payment gateway processing fee is deducted from settlement.
At the end of the promotional annual term, the plan renews at the standard Professional Platform Fee then applicable, unless otherwise stated in the Customer's Order Form or applicable offer terms.
