Terms and Conditions

This document sets out the terms for use of the Learnyst platform. It governs both our Course & Content Creators ("Creators") and our end users ("Students"), collectively ("You" or "Users"). Learnyst is committed to transparency, which includes providing a Terms of Use that is understandable and written in plain language. Because this document represents our agreement with you about your use of our platform, please take the time to read this document.

Learnyst Platform can be found at https://www.learnyst.com/,and also includes all of the subdomains, mobile application, any other media, location, application, etc. owned, managed, operated, etc. by Learnyst. When referring to the infrastructure in this Agreement, we will be collectively referring to them as the "Platform."

Code of Conduct

We have to set up some ground rules. Honestly, most of what we cover here should go without saying. However, it's better to be upfront about things, rather than just assume everyone knows how they are expected to conduct themselves on our Platform.

1. No Illegal Activity:  This is about as simple as it gets. Do not use the Learnyst Platform for any illegal activity. Period. You are not allowed to use our Platform to engage in any kind of conduct that violates any applicable federal, state, local, or international law or regulation

2. No Fraud:  Yes, this is probably covered in the No Illegal Activity section above, but we want to make this very clear. Fraud will not be tolerated in any capacity.

3. No Bad Code:  Do not use the Learnyst Platform to transmit, distribute, send, or otherwise expose the Platform or its Users to viruses, worms, or any other code that  may be deemed dangerous, harmful, or destructive in any manner.

4.  No Spamming:  Seriously. No one likes spam. We don't like spam. We're pretty sure that You don't like your inbox cluttered with spam. You may not use the Learnyst Platform to engage in any activities that will result in sending spam to anyone on the Learnyst Platform, including Learnyst (and its employees), Creators, and Students.

5. No Exploitation:  You will not use the Learnyst Platform to try to gather personal information on anyone outside of the limited permissible uses for offering or accessing Content.

6.  No Impersonation: Imitation is the sincerest form of flattery, but not when it comes to representing that You are a part of Learnyst. You will not impersonate anyone on the Learnyst Platform, including Learnyst (and its employees), Creators, and Students.

7. No Prohibited Content:  You may not use the Platform if Your Content contains material that is libellous, slanderous, pornographic, obscene, unlawful, threatening, hateful, violent, predatory, defamatory, or otherwise objectionable, all of which shall be determined in Our sole discretion.

8. Communications:  By providing Your information You authorise Learnyst, its affiliates, and their respective employees, agents, and contractors to initiate electronic communications by email, and telephone calls, with respect to Your use of the Platform.

9. Disclaimer of Liability: To the maximum extent permitted by applicable law, Learnyst disclaims all liability for any damages arising out of or in connection with the use of the Learnyst Software, including, without limitation, any direct, indirect, incidental, special, punitive, or consequential damages, as well as any loss of profits, revenue, data, or data usage. 

10. Limitations Of Liability: WITHOUT LIMITING ANY DISCLAIMERS SET FORTH IN THIS AGREEMENT OR THE APPLICABLE SERVICE TERMS, THE AGGREGATE LIABILITY OF LEARNYST, ITS AFFILIATES, AND LICENSORS ARISING OUT OF OR IN CONNECTION WITH THE SERVICES SHALL, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BE LIMITED TO THE VALUE OF THE REMAINING UNUSED PORTION OF THE APPLICABLE SUBSCRIPTION PERIOD AT THE TIME THE CLAIM ARISES.

11. Fair Usage Policy: You agree to use Learnyst platform for the purpose of selling your courses and to grow your academy online. Any unfair usage like using the platform for storing content, hosting or steaming of copyrighted contents or adding users data collected from inappropriate sources will not be entertained.

If you violate this Code of Conduct, we reserve the right to remove You and any of Your Content from the Learnyst Platform. Whether conduct violates our Code of Conduct will be determined in Learnyst’s sole discretion.

Pricing

Learnyst is not responsible for setting the pricing on a Creator's Content. Prices for Creator Content are set by the Creator

Fees

Learnyst charges Creators fees to access particular features of the Learnyst Platformthrough paid subscription plans or revenue share plan.

  • Learnyst reserves the right to pause the customer account if the renewal payment is not received

Capacity Planning & High-Load Events

For any events expected to involve high concurrent usage, including but not limited to examinations, live sessions, or product launches, the Customer shall provide prior written notice to the Company via email no less than five (5) working days in advance. Such notice must include reasonably accurate details, including the anticipated number of users, expected concurrency levels, event schedule, and duration.

Upon receipt of such notice, the Company shall use commercially reasonable efforts to allocate and prepare infrastructure resources based on the information provided. However, the Customer acknowledges and agrees that actual usage patterns may vary from projections, and that sudden or unanticipated traffic spikes (“burst traffic”) may adversely impact system performance. The Customer further acknowledges that automated scaling mechanisms may require time to respond to increased demand and may not instantaneously accommodate rapid fluctuations in usage.

For detailed information regarding usage limits and entitlements under each standard subscription plan (including Essential, Professional, Premium, and Business), please refer to the Fair Usage Limits.

Capacity planning support for high-concurrency events (greater the 1000 concurrent users) is available only to Customers subscribed to the Enterprise plan, as may be offered by the Company.

Support and Escalation Requirement

All support requests, issue reports, and escalations must be submitted exclusively through the Company’s designated support email address: support@learnyst.com.

A request shall be deemed valid and actionable only if it is submitted via the above-mentioned email address. Any communication made through other channels, including but not limited to phone calls, messaging applications (e.g., WhatsApp), or informal communication, shall not be recognized as an official support request or escalation.

Each support request must include sufficient and relevant information to enable effective resolution, including but not limited to:
(a) a clear description of the issue;
(b) relevant timestamps;
(c) details of affected users, if applicable; and
(d) supporting evidence such as screenshots, logs, or recordings.

In the absence of a valid request submitted through the support channel, the Company shall not be liable for any delay in response, investigation, or resolution of the issue.

The Company will address all valid support requests in accordance with the applicable Service Level Agreement (SLA) timelines, based on the severity level of the issue.

Support & Escalation Policy

The standard subscription plan includes support exclusively via email. Real-time, on-call, telephonic, or messaging-based support shall not be provided unless expressly agreed to in writing by the Company.

In the event of any issue, the Customer must submit a support request through the designated official email must be submitted exclusively through the Company’s designated support email address: support@learnyst.coml  and provide all relevant information, including sufficient details and supporting evidence (such as screenshots), to enable proper assessment and resolution.

The Company shall not be liable for any delay or failure in resolution to the extent such delay arises from the Customer’s failure to (a) raise a support request through the prescribed official channels, or (b) adhere to the Company’s defined escalation procedures.

Service Interruptions

The Customer acknowledges and agrees that the Platform may experience temporary degradation in performance, latency, or interruptions arising from factors including, but not limited to, traffic spikes, infrastructure scaling activities, or dependencies on third-party services.

Such occurrences, when addressed and resolved within a commercially reasonable timeframe, shall not be deemed a failure of service or a breach of this Agreement.

No Guarantee of Event Outcomes

The Platform is provided solely as a technology service. The Company does not warrant or guarantee the successful user participation levels, engagement, or any revenue outcomes.

The Customer retains sole responsibility for all aspects of event planning and execution, including implementing appropriate contingency measures, such as backup systems, alternative channels, and operational buffers, to mitigate potential disruptions.

Force Majeure & Third-Party Dependencies

The Company shall not be liable for any failure, delay, or interruption in the performance of its obligations where such failure arises from causes beyond its reasonable control, including but not limited to failures of cloud infrastructure providers, internet outages, third-party service disruptions, or other events constituting force majeure.

Remedies

In the event of a verified and sustained service failure solely attributable to the Company, the Company may, at its sole discretion, provide service credits or extend the applicable subscription period.

Such remedies shall constitute the Customer’s sole and exclusive remedy, and no other claims, damages, or compensation shall be available or payable.

Refund Policy

We want you to be happy with Learnyst’s Platform. If you're not feeling excited about joining our community, you can request a refund within 15 days of subscription.

Cancellation

If you cancel a paid plan, the cancellation will become effective at the end of the then-current billing cycle. When you cancel a paid plan, your account will be locked after the billing period

Fair usage limits

Usage of the Platform is subject to fair usage limits based on the Customer’s subscribed pricing plan, including but not limited to Essential, Professional, Premium, and Business plans. Each plan may define specific limits relating to features, storage, bandwidth, number of users, or other resources as described on the pricing page or communicated by the Company.

The Customer agrees to use the Services within the limits of the applicable plan. Any usage exceeding such limits, or usage that is abnormal, excessive, or impacts system performance or other users, may result in restrictions, additional charges, suspension, or a requirement to upgrade to a higher-tier plan, at the Company’s sole discretion.

Data Lifecycle Management Policy

Scope of Data

For the purpose of this policy, "Data" includes, but is not limited to:

  • Courses, bundles, batches, tests, assignments, and other content created on the platform.

  • Learner information, including learner profiles, email addresses, enrollment records, and course access data.

  • Learner activity logs and usage records.

  • Transaction records, invoices, payment-related information, and subscription details.

  • Platform configuration data and account settings.

  • Any other data generated, uploaded, stored, or processed through the Learnyst platform.

Data Retention

Data is retained during the active subscription period of the customer account. Customers are responsible for maintaining valid and active subscriptions to ensure continued access to their data.

Non-Renewal and Subscription Expiry

In the event a subscription is not renewed, Learnyst reserves the right to suspend access to the account after 2 days from the subscription expiry date and may permanently delete all associated Data after thirty (30) days from the subscription expiry date.

Learnyst is under no obligation to retain, archive, recover, or restore any Data after subscription expiry. Data deletion may occur at any time after the expiry date and may be irreversible.

Customers are solely responsible for backing up any Data they wish to retain before subscription expiry.

Data Export and Backup

Customers requiring a backup of their Data should take the backup directly from the platform using the course backup feature. You can find it in the Manage section. Credit charges are applied for the same. Where a subscription has already expired, additional charges may apply for any backup, restoration, export, or data recovery services, if such services are available. For any recovery post subscription expiry, users should reach support@learnyst.com within 30 days. Learnyst does not guarantee the availability of backup or recovery services after subscription expiry.

Storage & Learner Usage Optimisation

Learnyst is primarily a Learning Management System (LMS) and is intended to store content and learner data that is actively used for learning purposes, not as a backup or storage service. Dormant Content are the videos or course content uploaded on the platform but not accessed by Learners from the last 30 days.

An Active Learner is a unique learner who performs at least one learning event within the last 30 days. Any learner who does not meet the above criteria is considered an Inactive Learner. Removing dormant content and inactive learners can help optimize storage usage and avoid additional storage charges.

For this purpose, we have the following two features available:

Dormant Content Report
This report highlights content that is not being accessed by any active learner and is currently occupying storage. This may include unpublished courses or courses that do not have any active learners. By deleting such content, you can free up storage and reduce additional storage charges.

Inactive Learners Report
We also provide reports that show inactive learners on the platform. Learners who are no longer actively using the platform can be archived using the Archive Learner feature. This can help keep your learner usage within the prescribed plan limits.

In both of the above cases, you will receive system notifications or the Success Team will reach out to you. We encourage you to delete such inactive learners and dormant storage to optimise app performance & to keep the usage under limits, and prevent overusage.

Account Termination

Upon account cancellation, termination, or prolonged non-renewal, Learnyst may permanently delete all associated Data, content, learner records, configurations, and account information.

Once deleted, Data cannot be recovered. Learnyst shall not be liable for any loss of revenue, business interruption, learner information, content, records, or any other damages arising from such deletion.

Legal and Regulatory Retention

Notwithstanding the above, Learnyst may retain certain billing, tax, legal, security, and audit records, transaction data, invoices, logs, or other information where required by applicable law, regulation, audit requirements, legal process, or legitimate business purposes.

Any such retained information will be handled in accordance with applicable laws and Learnyst's privacy and security practices.

Data Disposal

We retain the data for inactive or non-subscribed accounts (accounts without a paid plan) for 30 days. After 30 days, we will delete the data. Once deleted, Data cannot be recovered. Learnyst shall not be liable for any loss of revenue, business interruption, learner information, content, records, or any other damages arising from such deletion.

Learnyst may permanently delete all associated Data after thirty (30) days from the subscription expiry date.

Learnyst is under no obligation to retain, archive, recover, or restore any Data after subscription expiry. Data deletion may occur at any time after the expiry date and may be irreversible.

Customers are solely responsible for backing up any data. For any recovery post subscription expiry, users should reach support@learnyst.com within 30 days from subscription expiry.
